RUHU Pte Ltd is a company which operates the Website under Singapore law (RUHU, “we” or “us "). These Terms of Use shall include our Privacy Policy and any other policy. To participate, you must agree to these terms and conditions, which form a binding, legal contract with us.
We reserve the right at any time, with or without cause, to:

(ii) change the Website, including eliminating or discontinuing any Information or Services or other feature of the Website;
DEFINITIONS
“Account " means a registered account that you may be required to create if you wish to access and use the full facilities and features of the Site, whether as a Service User or a Service Professional; " Additional Policy " means any and all other operating rules, policies and / or guidelines in addition to the Terms and Conditions of Use that may be applicable to govern and make known to you from time to time the use of the website;
“Data” means the facility provided by the Website, including but not limited to:
(i) the acceptance and dissemination of requests from Service Users to Service Professionals;
(ii) the facilitation of Service Professionals to provide quotes to Service Users;
(iii) to facilitate contact between Service Users and Service Professionals;
(iv) to maintain profiles for Service Professionals;
(v) to provide other ancillary or related services facilitating contact between Service Users and Service Professionals;
(vi) maintaining profiles for Service Professionals and any other ancillary or related services;
“Password” means the password which you may be required to create, provide and use in order to create and use an Account;
“Service” means the professional service offered and / or to be rendered by the Service Professional in the course of his business to a Service User;
“Service User” means any individual or company that has used or browsed the Website; and / or submitted a request for professional services offered by Service Professionals, via the Website, in order to receive price quotations, regardless of whether such Service User ultimately hires or does not hire a Service Professional via the Website;
“Service Professional” means any individual or company that has signed up to offer their Service to the general public and to Service Users via the Website;
“Terms of Use” refer to these Terms of Use, Privacy Policy and any Additional Policies as may be modified from time to time;
“user”, "you" and "your", as applicable, means a person who accesses, uses, and / or participates in the Website in any manner, whether as a Service User or Service Professional;
“Website” means the websites bearing the domain www.ruhu.sg and any other related microsites and / or mobile or web applications owned and operated by RUHU which may or may not be of similar names; and any related or ancillary facilities or functions such as e-mails, SMS, newsletters, notifications or other communication or content.
OWNERSHIP
The Website is owned and operated by RUHU Pte Ltd and its related companies and / or affiliates, and the Information and Services (and any intellectual property and other rights relating thereto) are and will remain the property of RUHU and its related companies and / or affiliates. The Information and Services are protected by Singapore and international copyright, trademark, and other laws, and you acknowledge that these rights are valid and enforceable. Except as set forth in this Agreement, you may not copy, reproduce, modify, adapt, translate, republish, upload, post, transmit, distribute, sub-license, sell, reverse engineer, decompile, or disassemble any part of the Website or any Service or Information without our prior written permission.
The Information, Website, and Services may be used solely:
(i) to the extent permitted in this Agreement;
(ii) as expressly authorized in writing by RUHU Pte Ltd or, if so indicated in writing by RUHU, its related companies and / or affiliates;
Use of the Website or any Services or Information for any other purpose is strictly prohibited. You acknowledge that you do not acquire any ownership rights by using the Website or any Services or information. The trademarks, logos, and service marks displayed on the Website (collectively, the "Trademarks") are the registered and unregistered trademarks of RUHU Pte Ltd, related companies and / or affiliates, and /or others.
RUHU® is a registered trademark of RUHU Pte Ltd. Nothing contained in this Agreement or the Website should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark(s) without the express written permission of RUHU Pte Ltd, related companies and / or affiliates, or the third party owner of any such Trademark, except as set forth in the following paragraph.
TERMS OF USE FOR SERVICE USERS
By using or participating in the Website, you represent, warrant and undertake that:
(i) you are at least 18 years of age;
(ii) you are or intend to be either a Service User and / or a Service Professional;
(iii) you have the authority to enter these Terms of Use and to accept them;
(iv) all information that you have submit in order to gain full use of this Website is true and accurate and that you will maintain the accuracy of such information at all times;
(v) you shall not infringe any applicable laws or regulations to which you are subject to in the use of this Website;
(vi) you agree to pay for any Services requested by using the Website (if any) if required;
Service User(s) shall not:
(i) use any service(s) without payment after having commit to the purchase or in the process of committing to the purchase after agreeing to the pricing and / or quotations from the Service Professional(s);
(ii) use or otherwise request a Service without any real intention at the time of such conduct to follow through with your use or payment for the Service, for purposes of business or market intelligence or general survey;
(iii) use the service for any other non-personal use;
(iv) request or agree to purchase a Service if you know, have reason to believe or have been notified that you do not comply with the terms of the Service Professional(s) in order to cause disruption, fraud or other torturous or illegal purposes;
As a service user, you are encouraged to refer to our guidelines on how to hire and exercise reasonable and independent judgment, discretion and care when choosing to hire a Service Professional.
No Confidentiality Without prejudice to the Privacy Policy: You acknowledge and agree that RUHU does not guarantee the confidentiality of any content submitted by users, including your profile or information transmitted, posted or shared by you, hosted and/or published on the Website, without limitation.
Changes to the Terms of Use or Privacy Policy: RUHU Pte Ltd reserves the right to amend the Terms of Use and any other documents incorporated by reference at any time at its sole discretion. It is your responsibility to read, agree and comply with the Terms of Use of the website prior and after any amendment is made to the Terms of Use. If you do not agree to comply with these or any future conditions of use, please do not use the website or access it.
NOT FOR CHILDREN UNDER 13: You hereby affirm that you are over the age of 12, as this Website is not intended for children under 13. If you are under 13 years of age, please do not use the Website. You further affirm that you are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in this Agreement and Terms of Use, and to abide by and comply with this Agreement and Terms of Use.
You shall cease communication of any Service Professional contacted via the website and notify RUHU immediately if the Service Professional:
(i) offers unsolicited advertising or marketing of a service that is not offered on the Website and / or offered on an external website;
(ii) fail to honour the Services you purchase unless the Service Professional has materially changed the description of the Service after you have negotiated an agreement for the Service, a clear typographical error is made or the identity of the Service Professional cannot be authenticated;
(iii) circumvent or manipulate any fee structure or billing process we may have or implement;
(iv) post false, inaccurate, misleading, defamatory or libellous content (including personal information about any website Service User and / or Service Professional);
(v) act to undermine any feature RUHU has or may have for the purposes of the website;
TERMS OF USE FOR SERVICE PROFESSIONALS
If you are an individual using the Website and / or are registered as a Service Professional, you represent and warrant that you have the authority to bind the individual and / or company responsible for the business as a Service Professional and that your acceptance of the Terms of Use is considered by that Service Professional to be acceptable.
By registering, or creating an account on the Website as a service professional, you agree and undertake to comply with any requests for information that we may submit in order to verify the legality, legitimacy, conduct and proper establishment of your business, company or operation and / or the provision of your service.
Service Professional(s) shall:
(i) register with RUHU on its website and must be 18 years of age or older (RUHU may accept or reject any application in its sole discretion);
(ii) agree and comply to the Terms, Policies, Agreements and any other requests and rules set forth by RUHU from time to time, in its reasonable discretion and conduct its services / works professionally, ethically and in good faith;
(iii) agree not to associate any of RUHU’s trademarks, copyrights or intellectual property with content that is unlawful in any manner, or which is otherwise harmful, threatening, defamatory, obscene, offensive, harassing, sexually explicit, violent, discriminatory, or otherwise objectionable in RUHU’s sole discretion;
(iv) agree not to send unsolicited electronic messages to multiple unrelated recipients in promoting RUHU’s services, or otherwise to engage in any other form of mass electronic communications prohibited by law in connection with activities contemplated under these Terms;
(v) be solely responsible for its operations in acting under these Terms, including, without limitation, the legality of its operations and materials, created and used in connection with these Terms;
(vi) not register or list on the Website in a category of Service which they do not offer or that is irrelevant to or inappropriate for the Service they are offering, misrepresent the location(s) at which they will provide a Service which may include brand names of third parties or other inappropriate keywords in their profile, title or posting, messages or submissions on the website or via it and / or use misleading titles, words or phrases that do not describe the service they provide accurately;
(vii) not include any fraudulent or otherwise incorrect information in his or hers personal and / or company profile;
Service Professional(s) shall not engage in any means to avoid any fees that may be charged by RUHU via means of fraud and / or misconduct in any promotions or partnerships with RUHU via;
(i) services not offered by the Service Professional through the Website;
(ii) services not recognized in the Website;
(iii) any website, service, product, party or anything not directly related to its Service or otherwise prohibited by RUHU at its sole discretion from time to time;
(iv) any services prohibited by law;
(v) request service users or anyone to pay or do anything that is not specifically permitted under the Terms of Use or by RUHU, as may be determined from time to time at its sole discretion;
(vi) offer or request any service or do anything that violates these Terms of Use, the Privacy Policy or any law;
You shall cease communication of any Service User contacted via the website and notify RUHU immediately if the Service User:
(i) offers to make transfers of domestic or international money for amounts exceeding the requested price of a service in order to request a refund of any portion of the payment;
(ii) fail to pay for services purchased from you unless the Service User complies materially with the terms agreed upon mutually;
(iii) post false, inaccurate, misleading, defamatory or libellous content (including personal information about any website Service User and / or Service Professional);
(iv) act to undermine any feature RUHU has or may have for the purposes of the website;
(v) leave any incorrect or inappropriate feedback about a Service Professional;
GENERAL TERMS OF USE FOR BOTH SERVICE USERS AND SERVICE PROFESSIONALS
You shall not upload, post, transmit, distribute or facilitate any content, including text, images, video, sound, data, information or software, to any part of the Website, including but not limited to:
(i) your profile;
(ii) posting of your Service(s) and / or Service(s) request;
(iii) posting any opinions or reviews relating to the Site, the Service, the Service Professional and / or the Service User (collectively referred to as " Content submitted ");
(iv) misrepresent the source of anything you post, including the impersonation of any false or inaccurate biographical information to any Service Professionals by another individual or entity, providing or establishing links to external sites that violate these Terms of Use;
(v) harm or exploit any person in any way or is intended to solicit or collect personally identifiable information from any person without his or her consent;
(vi) invade the privacy of anyone by attempting to collect, collect or otherwise use or publish any of his or her information without his or her knowledge or consent;
(vii) posting contents of falsehoods or misrepresentations that may harm RUHU or any third-party;
(viii) posting pornographic, harassing, hateful, illegal, obscene, defamatory, libellous, slanderous, discriminatory, racially, culturally or ethnically offensive, pornography, obscenity, vulgarity, profanity, hatred, bigotry, racism or gratuitous violence subject matter;
(ix) encourage behaviour that would be considered a criminal offence, give rise to civil liability or infringe any law, promote racism, hatred or physical harm of any kind to any group or person, includes or is otherwise inappropriate nudity, violence or inappropriate subject matter;
(x) posting copyrighted, protected trade secret or otherwise subject to proprietary rights of third-parties, including privacy and advertising rights, in whole or in part, unless you are the owner of such rights or have the permission of the rightful owner to post the material and grant RUHU all the license rights granted therein;
(xi) intensions of threatening, stalking, defaming, defrauding, degrading, victimizing or intimidating for any reason an individual or group of persons or to incite or encourage others to do so;
(xii) intensions to harm or disrupt the computer of another user or to allow others, by any means, to illegally access software or bypass security on websites or servers;
(xiii) advertises or requests a company not related to or appropriate to the Website (as determined by RUHU in its sole discretion);
(xiv) post contents regarded as ' junk mail, ' ' spam, ' ' chain letters, ' ' pyramid schemes, ' ' affiliate marketing' or unwanted commercial advertising;
(xvi) post contents for advertising of Ponzi schemes, discount cards, credit advice, online surveys or online competition;
(xvii) distributing virus contents or other technologies which may harm RUHU or the interests or property of users of RUHU;
(xviii) posting links to commercial services or websites, except as permitted in accordance with the Terms of Use;
(xix) posting non-local or irrelevant content or same contents of other open Postings that you have already posted or uses any form of automated device or computer program that allows Postings to be submitted without RUHU's express written consent;
You are fully and exclusively responsible for the content you submit and the consequences of posting or publishing it. You hereby state, represent and justify:
(i) you own or have the licenses, rights, consents and permissions necessary to use and authorize RUHU to use all patents, trademarks, trade secrets, copyrights or other proprietary rights in and to any and all Content submitted;
(ii) you have in the Submitted Content the written consent, release and / or permission of each and every identifiable individual to use the name or likeness of each and every identifiable individual;
(iii) by reason of any Submitted Content posted to or through the Website, you agree to pay for all royalties, fees and any other money due to any person and / or company;
(iv) in your submitted content, you have grant RUHU a non-exclusive, royalty-free, licensable and transferable license to link, use, reproduce, distribute, reformat, translate, prepare, display and execute derivative works of the Content submitted in connection with the business operations of the Website and RUHU (and its related companies / affiliates), including without limitation, for the promotion and redistribution of any part or all of the Website (and in any media format and through any media channels any derivative works);
(v) you hereby also grant each user of the Website a non-exclusive license to access and use your Submitted Content through the Website, as permitted by the functionality of the Website and in accordance with these Terms of Use.
The Terms of Use, together with the Privacy Policy and any other legal notices or other policies published on the Website by RUHU, constitute the entire agreement between you and RUHU on the Website.
If a court of competent jurisdiction considers that any provision of the Terms of Use is invalid, the invalidity of that provision shall not affect the validity of the remaining provisions of the Terms of Use, which shall remain in full force and effect. These Terms of Use shall be governed by Singapore law and you agree to submit any claims or disputes to the jurisdiction of the Singapore courts.
FEES AND TAXES
RUHU reserves the right to charge fees to Service User(s) and / or Service Professional(s) for the use of the Website, including but not limited to fees for contacting Service User(s) and / or Service Professional(s), responding to requests from Service User(s), or carrying out transactions with Service User(s) via RUHU.
RUHU reserves the right to charge fees for these facilities at its sole discretion and you agree to pay any fees that RUHU may notify you and prescribe from time to time by using the website.
In order to receive and provide services, RUHU acts only as an online platform for service users to connect with Service Professional(s).
RUHU is not itself a Service Professional or a Service User, and is not responsible for the accounting or payment of any tax or compliance with any legislation relating to tax or relevant compliance for any transaction, sale or service provided to any Service User by any Service Professional.
You understand, recognize and agree that you are solely responsible for your own tax reporting and compliance obligations.
RUHU HEREBY GRANTS BOTH SERVICE USERS AND SERVICE PROFESSIONALS A NON-EXCLUSIVE, REVOCABLE LICENSE TO USE THE WEBSITE UNDER THESE TERMS
You shall not, without RUHU's prior written consent, copy, distribute or make derivative works of the Website in any medium, alter or modify any part of the Website other than using the Website for its purposes including but not limited to infringement of any Terms of Use and / or Privacy Policy of the Website.
TERMINATION FOR BOTH SERVICE USERS AND SERVICE PROFESSIONALS
This Agreement is effective from the date that you first access the Website or submit any information to RUHU, whichever is earlier, and shall remain effective until terminated in accordance with its terms. RUHU may immediately terminate this Agreement, and / or your access to use the Website, or any portion thereof, at any time and for any reason, with or without cause, without prior notice. This Agreement will also terminate automatically if you fail to comply with any terms or provisions set forth in this Agreement. Upon termination of this Agreement by either party, your right to use the Website shall immediately cease, and you shall destroy all copies of information that you have obtained from the Website, whether made under the terms of this Agreement or otherwise. All disclaimers and all limitations of liability and all RUHU rights of ownership shall survive any termination.
RUHU reserves the right to temporarily or permanently modify or discontinue the Website or any part thereof, with or without notice, at its sole discretion, at any time and from time to time. You agree that RUHU is not liable for any change, suspension or discontinuance of RUHU's services to you or any third-party. You acknowledge and agree that RUHU has the right to delete, terminate or deactivate your account, block your e-mail or IP address, cancel the website or otherwise terminate your access to or participation in the use of the website or any part thereof, but not the obligation to delete, terminate or deactivate your account, or remove and discard any content submitted on the website immediately and without notice for any reason that may, but is not required to disclose. Your right to participate in the website in any way shall automatically terminate after the termination of your account.
